Terms of Business

Updated: 18th October 2026

These terms apply to all work Futureproof does for you. They sit alongside your proposal, and if the two ever disagree, your proposal wins.

1. Who we are

Futureproof Digital Marketing Ltd ("Futureproof", "we", "us"), registered in England and Wales, company no. 16161800, 124 City Road, London EC1V 2NX. "You" means the business named in your proposal.

2. How our agreement works

Our agreement starts when you sign your proposal or confirm in writing that you'd like to go ahead. An email saying yes counts. The agreement is your proposal plus these terms.

3. The work

We'll do the work set out in your proposal, with reasonable care and skill. If you'd like something that isn't in the proposal, we'll quote for it first. Nothing extra is charged without your agreement.

4. What we need from you

To keep things on time, we need content, images, feedback, logins and hosting access when we ask for them. If something we need arrives late, the timeline moves with it.

When you give us material, such as text, photos or logos, you confirm you have the right to use it, and that it doesn't break anyone else's rights.

5. Revisions and approval

Each design stage includes two rounds of revisions. Further changes are charged at £100 per hour, and we'll tell you before that starts.

When we ask you to approve something, please approve it or send feedback. If we hear nothing within 10 working days of a reminder, we'll treat that stage as approved and carry on.

6. Fees and payment

Our fees are set out in your proposal. They exclude VAT, which we'll add if and when it applies. Invoices are due within 14 days unless your proposal says otherwise.

Third-party costs, such as hosting, domains, software subscriptions and advertising spend, are paid by you directly to the provider, unless we agree otherwise in writing.

If an invoice is overdue, we may pause work until it's paid, and we may charge interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998. We'd always rather talk first.

7. Monthly services

Monthly services, such as marketing or maintenance, run month to month and are invoiced in advance. There's no minimum term. Either of us can stop them with 30 days' written notice. Email is fine.

8. Who owns what

Once you've paid in full, you own the work we made for you: your website, designs, content and templates. Until then, you can review it, but it stays ours.

We keep ownership of our own tools, platforms, code libraries, templates and methods, including Market Ninja. Where these sit behind your work, you have a permanent right to use them as part of it.

Some things belong to other people, such as fonts, stock images, plugins and themes. These come with their own licences, and we'll tell you about any that matter.

9. Showing our work

We may show the work we did for you in our portfolio, and name you as a client, unless you ask us not to. A case study that shares your results needs your agreement first, unless it's already part of your proposal.

10. Results

Marketing depends on things outside our control, such as search engines, social platforms, competitors and the market. So we can't guarantee rankings, traffic, leads, sales or visibility in AI search. What we do promise is honest effort, and work we can stand behind.

11. Other platforms

We work with platforms we don't control, such as Google, Meta, WordPress and hosting companies. We're not responsible for their changes, outages, policy decisions or account suspensions, but we'll help you deal with them where we can.

12. Websites after go-live

For 30 days after a website goes live, we'll fix any bugs in the work we built, free of charge.

After that, hosting, backups, security and updates are your responsibility, unless you have a maintenance plan with us. Changes made by you or anyone else after handover aren't covered.

13. How we use AI

We use AI tools to help with research, writing and design. A person at Futureproof reviews everything before it reaches you. We take care with confidential information, and we don't put it into tools that would use it to train their models.

14. Confidentiality

We'll keep your business information private, and we ask the same of you for ours. This doesn't apply to information that's already public, or that the law requires us to share.

15. Data protection

We follow UK GDPR and the Data Protection Act 2018. Where we handle personal data on your behalf, such as patient or customer enquiries, we act only on your instructions, keep it secure, and delete or return it when our work ends. We'll sign a data processing agreement if you need one.

You're responsible for your own privacy policy, and for having a lawful basis to collect the data on your website and in your marketing.

16. Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else the law doesn't allow us to limit.

Otherwise, our total liability to you is capped at the fees you've paid us in the 12 months before the claim. We're not liable for indirect losses, such as lost profit, revenue or data.

17. Ending our agreement

Either of us can end the agreement with 30 days' written notice. Either of us can end it straight away if the other seriously breaks these terms and doesn't put it right within 14 days of being asked, or becomes insolvent.

If the agreement ends, you pay for the work done up to that point, and we hand over everything you've paid for.

18. General

Neither of us is responsible for delays caused by events outside our reasonable control.

Your proposal and these terms are our whole agreement. Any changes need to be agreed in writing. The latest version of these terms is always at futureproofuk.com/terms, and your project runs on the version that was live when you signed.

These terms are governed by the law of England and Wales, and disputes go to its courts.

19. Questions

If anything here is unclear, email [email]@futureproofuk.com. We'd rather explain it than have you guess.
